Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Gonu AI, a sole proprietorship established under the laws of India ("Gonu AI", "we", "us" or "our"), governing your access to and use of the Gonu Worker desktop AI agent, Gonu Video, Gonu Music, and the associated website, web application and APIs (together, the "Services").

This is an electronic record under the Information Technology Act, 2000 and the rules made thereunder, generated by a computer system, and does not require any physical or digital signature. It is published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. By creating an account, downloading Gonu Worker, or using the Services, you accept these Terms under Section 10A of the Information Technology Act, 2000 and Section 10 of the Indian Contract Act, 1872. If you do not agree, do not use the Services.

1. Eligibility and capacity

You must be at least 18 years of age and competent to contract under Section 11 of the Indian Contract Act, 1872. Under Section 2(f) of the Digital Personal Data Protection Act, 2023, a person below eighteen is a "child", and an agreement with a minor is void ab initio in Indian law (Mohori Bibee v. Dharmodas Ghose, (1903) ILR 30 Cal 539). If you are below 18, you may use the Services only through, and under the supervision of, a parent or lawful guardian who accepts these Terms on your behalf.

If you accept these Terms on behalf of a company, firm or other organisation, you represent that you are authorised to bind it, and "you" refers to that entity.

2. Description of the Services

Gonu AI provides an AI agent platform. Gonu Worker is a desktop application that can read and edit files, run commands, and complete multi-step tasks within a folder that you explicitly select. Gonu Video and Gonu Music generate media from your prompts. The web application provides account management, billing, and related productivity tools.

We may add, modify, suspend or discontinue any feature. Where a change materially reduces a paid feature, we will give you at least 30 days notice by email and you may cancel and receive a pro-rata refund of the unused period.

3. Your account

  • You must provide accurate, current and complete information when registering.
  • You are responsible for keeping your credentials confidential and for all activity under your account.
  • Notify us immediately of any unauthorised use at support@gonu-ai.com.
  • Accounts are personal and may not be sold, shared or transferred without our written consent.
  • One person or entity may not maintain multiple free accounts to circumvent usage limits.

4. Desktop agent — your responsibility

Gonu Worker executes actions on your own computer. This is powerful, and the responsibility is shared:

  • The agent operates only within the folder you select and with the permissions your operating system grants it. You choose what it can see.
  • You are responsible for reviewing the agent's proposed actions before approving them, and for maintaining your own backups. AI systems can act on a mistaken understanding of your instruction.
  • You must not point the agent at data you are not authorised to access, or use it in a manner that breaches your employer's policies or any confidentiality obligation you owe.
  • Where you use meeting or transcription features, you are solely responsible for informing and obtaining the consent of all participants before recording or transcribing. Recording a person without consent may attract liability under Section 72 of the IT Act, 2000 and other laws.

5. Subscriptions, pricing and taxes

  • Currency and tax: prices are displayed in Indian Rupees (₹). Applicable Goods and Services Tax is charged under the Central Goods and Services Tax Act, 2017 and the Integrated Goods and Services Tax Act, 2017, and shown separately on your invoice.
  • Billing cycle: paid plans are billed monthly or annually in advance, and renew automatically until cancelled.
  • Payments: processed by our RBI-regulated payment gateway partner. Card and UPI credentials are never stored by us. Recurring payments are authorised through the RBI e-mandate framework, which requires an Additional Factor of Authentication for the initial mandate and a pre-debit notification at least 24 hours before each recurring charge.
  • Cancellation: you may cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; you retain access until then.
  • Price changes: notified at least 30 days in advance. They apply from your next renewal, and you may cancel before then.
  • Failed payments: if a renewal fails we may downgrade your account to the free plan after written notice. Your data is retained per our Privacy Policy.

6. Refunds and cancellations

This clause is our refund policy for the purposes of Rule 4(3) and Rule 5 of the Consumer Protection (E-Commerce) Rules, 2020.

  • 7-day refund on first purchase: if you are dissatisfied with your first paid subscription, write to us within 7 days of the charge for a full refund, provided your usage of paid features in that period has been nominal.
  • Service failure: if a paid feature is unavailable for a continuous period exceeding 72 hours due to a fault on our side, you may claim a pro-rata refund for the affected period.
  • Consumed credits: generation credits (video, music, agent runs) that have already been consumed are non-refundable, since the underlying compute has been expended.
  • Accidental renewals: if you were charged for a renewal you did not intend and have not materially used the new period, write to us within 7 days and we will refund it.
  • Processing:approved refunds are credited to the original payment instrument within 7 to 10 business days of approval, subject to your bank's timelines.

Refund requests go to support@gonu-ai.com with the subject line Refund Request. Nothing in this clause limits your statutory rights under the Consumer Protection Act, 2019.

7. Acceptable use and prohibited content

In accordance with Rule 3(1)(b) of the IT Rules, 2021, you must not use the Services to host, display, upload, modify, publish, transmit, store, update or share any information that:

  • belongs to another person and to which you do not have any right;
  • is obscene, paedophilic, invasive of another's privacy including bodily privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, or otherwise inconsistent with or contrary to the laws in force;
  • is harmful to a child, or relates to or encourages money laundering or gambling;
  • infringes any patent, trademark, copyright or other proprietary right;
  • deceives or misleads the addressee about the origin of the message, or knowingly communicates information which is patently false or misleading in nature but may reasonably be perceived as a fact;
  • impersonates another person, including through synthetic voice, image or video generated with our tools;
  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting to any other nation;
  • contains a software virus or any other computer code, file or programme designed to interrupt, destroy or limit the functionality of any computer resource.

You further agree not to:

  • gain or attempt to gain unauthorised access to any computer resource, which is an offence under Sections 43 and 66 of the IT Act, 2000;
  • commit identity theft or cheating by personation under Sections 66C and 66D of the IT Act, 2000, or tamper with computer source documents under Section 65;
  • generate deepfakes, non-consensual intimate imagery, or synthetic media of a real person without that person's consent;
  • use the Services to develop malware, ransomware, exploits, phishing pages or other malicious tooling;
  • scrape, crawl or use automated means to extract data from the Services, or resell or sublicense API access without our written consent;
  • reverse engineer, decompile or disassemble the software, except to the limited extent permitted by Section 52(1)(ab) of the Copyright Act, 1957;
  • circumvent usage limits, rate limits, credits or security measures.

8. Your content and licence to us

You retain all ownership of the prompts, files, code, media and other material you provide or generate through the Services ("Your Content"). You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, display and process Your Content solely to operate and support the Services for you. This licence ends when you delete the content or your account.

We do not use Your Content to train foundation models and do not share it with model providers for training purposes. You are responsible for ensuring you have the rights to the content you submit, and that submitting it does not infringe any third party's rights under the Copyright Act, 1957 or any other law.

9. Our intellectual property

The Services, including all software, source code, designs, interfaces, documentation and content (other than Your Content) are owned by Gonu AI or its licensors and are protected by the Copyright Act, 1957, the Trade Marks Act, 1999, the Designs Act, 2000 and applicable international treaties. The Gonu and Gonu AI names, logos and brand elements are our marks. Nothing in these Terms grants you a right to use them.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable licence to install and use Gonu Worker for your internal purposes.

10. Third-party services and open-source components

The Services integrate third-party AI model providers, cloud infrastructure, payment gateways and, at your option, Google Workspace. Your use of those services is additionally governed by their own terms. We are not responsible for their availability, accuracy or acts. Gonu Worker also includes open-source components licensed under their respective licences, which continue to apply to those components.

11. AI output — important disclaimer

The Services use artificial intelligence to generate code, text, media and suggestions. AI output is probabilistic. It may be inaccurate, incomplete, outdated, biased or unsuitable for your purpose, and identical prompts may produce different results.

  • Verify before you rely. You must independently review and test any output before using it in production, in a filing, or in any decision that affects you or others.
  • Not professional advice. Output does not constitute legal, financial, medical, tax, engineering or other regulated professional advice, and no professional relationship is created.
  • Originality is not guaranteed. Generated output may resemble existing material. You are responsible for clearing rights before commercial use.
  • No outcome guarantee. We do not warrant any particular result, performance gain or commercial outcome.

12. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. Nothing in this clause excludes any warranty or condition that cannot lawfully be excluded under the Consumer Protection Act, 2019 or the Sale of Goods Act, 1930.

13. Limitation of liability

To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, business opportunity or data, arising out of or relating to the Services, even if advised of the possibility of such damages.

Our aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total amount actually paid by you to us in the twelve months immediately preceding the event giving rise to the claim, or ₹5,000, whichever is higher.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under Indian law — including Section 23 of the Indian Contract Act, 1872 and the Consumer Protection Act, 2019.

14. Indemnity

You agree to indemnify and hold harmless Gonu AI and its proprietor, employees, contractors and agents from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, your misuse of the Services, or any content you submit or generate that infringes the rights of a third party.

15. Suspension and termination

You may terminate at any time by deleting your account from Settings → Account. We may suspend or terminate your access, with notice wherever practicable, if you materially breach these Terms, if required by law or a competent authority, or if your use poses a security risk to others. Where the breach is capable of remedy, we will give you 7 days to cure it before terminating, except where immediate action is required by law or to prevent harm.

On termination, your licence to use the Services ends. You may export Your Content for 30 days afterwards, following which it is erased in accordance with our Privacy Policy. Clauses 8, 9, 11, 12, 13, 14, 17 and 18 survive termination.

16. Force majeure

Neither party is liable for any failure or delay caused by an event beyond its reasonable control, including an act of God, natural disaster, epidemic, war, riot, act of terrorism, strike, failure of the internet or telecommunications infrastructure, power failure, cyber attack, or any order, direction or restriction imposed by a government or regulatory authority (including any direction under Section 69A of the IT Act, 2000).

17. Grievance redressal

In compliance with Rule 3(2) of the IT Rules, 2021 and Section 13 of the Digital Personal Data Protection Act, 2023, the following officer will address complaints regarding these Terms, the Services, or any content:

We acknowledge every complaint within 24 hours and dispose of it within 15 days of receipt. Complaints about content in the nature of impersonation, or exposing a private area of a person, are actioned within 24 hours.

18. Governing law, dispute resolution and jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Step 1 — Grievance. Raise the issue with our Grievance Officer under clause 17. Most matters end here.

Step 2 — Arbitration. Any dispute not resolved within 30 days shall be referred to and finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, India, and the language shall be English. The award shall be final and binding.

Step 3 — Courts. Subject to the above, the courts at New Delhi shall have exclusive jurisdiction.

Your consumer rights are preserved. Nothing in this clause prevents you, as a consumer, from approaching the District, State or National Consumer Disputes Redressal Commission having jurisdiction under the Consumer Protection Act, 2019, or from filing a complaint with the Data Protection Board of India under the DPDP Act, 2023.

19. General

  • Changes: we may revise these Terms. Material changes are posted here with a new effective date and notified by email at least 7 days before they take effect. Continued use afterwards constitutes acceptance.
  • Severability: if any provision is held invalid or unenforceable, the rest remains in full force and the invalid provision is to be read down to the minimum extent necessary.
  • Waiver: failure to enforce any provision is not a waiver of it.
  • Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets, on notice to you.
  • Entire agreement: these Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Gonu AI regarding the Services.
  • Language: these Terms are executed in English, which prevails over any translation.
